A&J Design, hereafter known as the Company...

1. The Company shall not be responsible for any damage to or loss of prints, negatives, mechanical documents, documents or other articles entrusted to the company unless such damage or loss has been occasioned by the negligence of the company, or any of its servants. In that event the Company will recompense the client by paying no greater sum than £1 for each print, negative or other article damaged or lost.

2. The Company shall not be responsible for any loss suffered by a client arising from error, omission or delay, Act of God, strikes or other labour disturbance, severe weather condition, riot or civil disturbance or force majeure beyond the control of the Company in fulfilling any order or commission. We therefore advise the clients to arrange insurance cover in advance, to cover property left with us. No amendment to an order or commission shall be effective unless confirmed by the parties in writing.

3. All quotations of prices and delivery dates are subject to confirmation by the Company at the time of placing the order. The Company reserves the right to alter the price and/or terms of quotation if, on inspection of a client's order instructions they differ significantly from the specification understood by the Company when the quotation was given.

4. No contract undertaken by the Company will be understood to be subject to any specific time limit unless agreed in writing at the time of the acceptance of the order or commission.

5. It is understood that the placing of an order or commission constitutes a warranty by the client that he is entitled to the copyright in any photographs, artwork or type faces made available to the company by the client for the purpose thereof and that he has secured all necessary authority and permission in respect of the use thereof and that the client will keep the company indemnified from all liability to costs, damages or other charges.

6. In the absence of any written agreement to the contrary, copyright remains the property of, and vested in, the Company. All design visuals, samples and dummies supplied by the Company remain the copyright and property of the Company.

7. New clients by pro-forma invoice or cash with order. Accounts may be opened upon receipt of two satisfactory trade references and bank reference.

8. ACCOUNTS MUST BE SETTLED WITHIN 28 DAYS OF THE DATE OF INVOICE.

9. ACCOUNTS ENJOYING A NEGOTIATED TRADE DISCOUNT FACILITY MUST BE SETTLED IN FULL WITHIN 7 DAYS OF THE DATE OF INVOICE OR ON OR PRIOR TO THE CUSTOMER'S AGREED PAYMENT DATE OR THE CUSTOMER WILL BE REINVOICED AT STANDARD RATE AND SUBSEQUENT WORK WILL BE CHARGED AT STANDARD RATE UNTIL TRADE DISCOUNT FACILITY HAS BEEN RENEGOTIATED.

10. Projects and work requiring large quantities of stock, materials supplies or external suppliers' services will be charged in part or in full on a pro-forma invoice basis by the Company.

11. The Company reserves the right to add 5% per week to overdue accounts.

12. The Company has a minimum invoice charge of £50.00 on account or £30.00 for cash, plus V.A.T. Cheques can only be accepted when accompanied by a current bankers card.

13. Any claims must be notified within three days of receipt of goods and all relevant materials returned.

14. All sale or return goods and exhibits left with retailers or galleries are the responsibility of said retailer or gallery for the period/specific time limit agreed in writing at the time of the acceptance of the order or commission. Retailers or galleries will be held responsible for any damage or loss of sale or return items and/or exhibits and in that event, sale or return items and/or exhibits that have been damaged or lost, will be charged for by the company at full cost, which will be deemed payable on collection of any returned items at the termination of the agreed period/specific time limit.

15. The placing of an order or commission shall amount to the acceptance of the above conditions.
